Honire Mobile Gateway Terms & Conditions

1. Overview
This document represents the terms & conditions of using the Honire Mobile Gateway service. This website, brand names Honire and Honire Mobile Gateway and The Future of Mobile is owned and operated by Honire Ltd.
Every customer that uses the Honire Mobile Gateway service has agreed to this terms & conditions. Honire Ltd. reserves the right to change or modify these terms & conditions and any policies or agreements which are incorporated upon posting to this site. Customers agree that Honire Ltd. may notify them of such changes or modifications via the e-mail adrress provided at the registration process. If a customer does not agree on the revised terms & conditions it may not use the Honire Mobile Gateway service.
2. Used Terms
Honire Mobile Gateway: service which enables organizations to execute mobile campaigns with the goal to communicate with a mobile user over the mobile phone.
HMG: Honire Mobile Gateway abbreviation.
Customer: an organization using HMG with an established account
SMS: short message service
Mobile Campaign: campaigns that includes the usage of HMG, mobile phone and mobile users. The goal is to communicate between the organization and the mobile users
Customer base: an information package with the mobile numbers of users. The organization is using the mobile numbers of users to communicate with them over the mobile phone.
Service: any service provided by the HMG.
Honire Mobile Gateway: service which enables organizations to execute mobile campaigns with the goal to communicate with a mobile user over the mobile phone.
HMG: Honire Mobile Gateway abbreviation.
Customer: an organization using HMG with an established account

Mobile Campaign: campaigns that includes the usage of HMG, mobile phone and mobile users. The goal is to communicate between the organization and the mobile users
Customer base: an information package with the mobile numbers of users. The organization is using the mobile numbers of users to communicate with them over the mobile phone.
Service: any service provided by the HMG.
3. Eligibility and Authority
Services found at this website are available only to customers who can form legally binding contracts under applicable law. By using services on this website, a responsible person of the organization represents and warrants that she or he is at least eighteen (18) years old and recognized by the organization as being able to form legally binding contracts under applicable law.
If, after agreement to these Terms of Use, Honire Ltd. finds that the person representing the organization does not have the legal authority to bind such corporate entity, she or he will be personally responsible for the obligations contained in these term & conditions. Honire Ltd. shall not be liable for any loss or damage resulting from Honire Ltd.’s reliance on any instruction, notice, document or communication reasonably believed by Honire Ltd. to be genuine and originating from an authorized representative of your corporate entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document or communication, Honire Ltd. reserves the right (but undertakes no duty) to require additional authentication from you.
4. Creating an Account
Every organization creating an Account on HMG has agreed on these terms & conditions. This also includes organizations that are using a free trial or free test Account. The Organizations represents and warrants to Honire Ltd. that all information submitted at the account setup process is accurate, current and complete, and that the Organization will keep the account information accurate, current and complete. If Honire Ltd. has reasons to believe that the provided account information is untrue, inaccurate, out-of-date or incomplete, Honire Ltd. reserves the right, in its sole and absolute discretion, to suspend or terminate the account. The Organization is solely responsible for the activity that occurs on the account and it must keep the account information secure, including without limitation the Username and Password. Honire Ltd. will not be liable for any loss the Organization incurs due to any unauthorized use of the account. The Organization, however, may be liable for any loss Honire Ltd. or others incur caused by the Organizations account.

5. Data Transfers and Data Security
In order to use the HMG service the Organization has to transfer data about the mobile numbers of the users it wishes to include in the mobile campaigns. HMG allows the Organization to import and save any additional data that the Organization needs to have about its users.
Data is protected and secured on Honire Ltd.'s servers and using SSL certificates. If the Organization is from a different country that the servers of Honire Ltd. the data transfer is going across international boundaries.
The organization is the full owner of any customer base data imported into the HMG. It also owns any other data provided in the account setup process and during the mobile campaign setup process. In case of account termination Honire Ltd. is obligated to export any missing data from the HMG account of the Organization to the Organization via e-mail in excel format.
6. Termination of the Account
If the Organization wants to terminate the Account on HMG it has to inform Honire Ltd. about its intentions via e-mail adrress info@honire.com. Honire Ltd. will close the account and export any customer base data to the Organization in excel format via e-mail within 7 days of the received intention to terminate the account from the Organization via e-mail.

7. General Rules of Conduct
By using the HMG the Organization acknowledges and agrees that:
- It is the Organization's responsibility to execute mobile campaigns according to best practices and without any illegal activities.
- Honire Ltd. is not responsible of any data loss as a result of miss-usage of the HMG service.
- Honire Ltd. is not responsible in case of illegal actions or other violations conducted by the Organization with the HMG service.
- Honire Ltd. will provide any data needed to the state authorities if it is required to.
- Honire Ltd. is not responsible if the customer base the Organization imports and uses with the HMG service has not been obtained with the consent of mobile users .
- Honire Ltd. is not responsible for any content sent to the mobile users via the HMG service.
- It will not copy any part of this website and HMG service without prior permission from Honire Ltd.
The Organization will not use HMG in any matter that is:
- illegal or promotes or encourages illegal activity.
- Promotes, encourages or engages in defamatory, harassing, abusive or otherwise objectionable behavior.
- Promotes, encourages or engages in child pornography or the exploitation of children;
- Promotes, encourages or engages in hate speech, hate crime, terrorism, violence against people, animals, or property, or intolerance of or against any protected class.
- Promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking.
- Violates any given Laws in the Country where the Organizations uses the HMG service.
- Infringes on the intellectual property rights of another User or any other person or entity.
- Infringes on the intellectual property rights of Honire Ltd.
- Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity.
- Interferes with the operation of this website or HMG service.
- Installs any viruses, worms, bugs, Trojan horses or other code, files or programs designed to, or capable of, disrupting, damaging or limiting the functionality of any software or hardware.
8. Compliance with local laws
Honire Ltd. makes no representation or warranty that the content available on this website or the HMG service are appropriate in every country or jurisdiction, and access to this website or the HMG service found at this website from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this website or the HMG service found at this website are responsible for compliance with all local laws, rules and regulations.
